TERMS OF USE

This website (the “Website”) is operated by The Compliance Angle Ltd, trading as Compliance Angle (“we”, “us” or “our”).

We are a company registered in England and Wales under company number 15185050. Our registered office is 5th Floor, 167–169 Great Portland Street, London, England, W1W 5PF. You can contact us at info@complianceangle.co.uk.

These Terms of Use explain the conditions on which you may access and use the Website and its publicly available content. The Website is primarily intended for businesses and people acting in a professional capacity.

Please read these Terms before using the Website. By using the Website, you agree to comply with them. If you do not agree, you should stop using the Website. You may save or print a copy for future reference.

1. Our services and client engagements

Compliance Angle provides regulatory compliance consultancy, including FCA authorisation and application support, ongoing compliance advice and monitoring, policy and framework development, Consumer Duty support, governance and risk management, regulatory reporting and training.

These Terms govern use of the Website. They do not govern the provision of our consultancy services.

Our professional services are subject to separate written engagement terms, which set out the agreed scope of work, fees, responsibilities, confidentiality arrangements and applicable limitations of liability.

Visiting the Website, reading an article, subscribing to updates or submitting an enquiry does not, by itself, create a consultancy engagement or oblige us to accept instructions.

Descriptions of services and pricing arrangements on the Website explain our general offering. The scope, fees, payment arrangements and timescales for a particular engagement are confirmed separately in writing.

Where we have an engagement agreement with you, that agreement and any agreed amendments govern our professional services. These Terms do not override it, and changes to Website content or pricing information do not change an existing engagement.

2. Website content and professional advice

Our Resources articles, regulatory updates, guides and other publicly available materials are provided for general information. They are not a substitute for legal, regulatory, tax or other professional advice tailored to your circumstances.

Website content does not take account of every business model, regulatory permission, customer type or factual situation. You should obtain appropriate professional advice before taking, or refraining from taking, action based on it.

We take reasonable care when preparing content, but we do not guarantee that it is complete, free from errors or suitable for your particular purpose. Legal and regulatory requirements may change after publication. Articles should be read in the context of their publication or review date, and we do not undertake to update every previously published item.

The Website does not provide personal recommendations about buying, selling or entering into investments, insurance, mortgages or other financial products.

References to the FCA or other regulators do not imply their endorsement of Compliance Angle or our content.

Nothing on the Website promises that a regulatory application will be approved, that a regulator will reach a particular decision, or that a business will achieve or maintain compliance simply by using our materials.

This section concerns general Website content. It does not alter our responsibilities for advice or services provided under an agreed client engagement.

3. Intellectual property and permitted use

Unless otherwise stated, intellectual property rights in the Website and its original content belong to Compliance Angle or the relevant licensors.

You may view, save and print reasonable copies of our publicly available articles and materials for personal reference or your organisation’s internal business use. You must retain relevant authorship, copyright and disclaimer notices and must not present our content in a misleading way.

You may also share links to our publicly available pages and articles.

Except as permitted above, under a specific licence or by applicable law, you must not reproduce, republish, distribute, sell, license or commercially exploit our content without our prior written permission. You must not present our materials as your own work or use our name or branding to imply an endorsement or association that does not exist.

Where downloadable materials carry their own licence or usage conditions, those conditions apply to those materials. Third-party content remains subject to the rights and permissions of its respective owners.

Ownership and permitted use of documents and other deliverables prepared for clients are governed by the relevant engagement agreement, not this section.

4. Acceptable use

You must use the Website lawfully and in a way that respects the rights of others.

You must not:

  • introduce malicious software, interfere with the Website’s operation or attempt to gain unauthorised access to its systems;

  • use the Website to transmit unlawful, fraudulent, threatening or infringing material, or impersonate another person or organisation; or

  • unlawfully collect personal information, bypass access restrictions or use automated tools to copy substantial parts of the Website without permission.

The restriction on automated copying does not prevent ordinary search-engine indexing that respects our access controls and published technical instructions, or activities that applicable law permits.

We may restrict access where we reasonably believe it is necessary to address misuse, protect security or comply with legal requirements.

5. Enquiries, privacy and cookies

Please ensure that information you provide through the Website is accurate to the best of your knowledge and that you are entitled to provide it.

Do not send confidential client files, identity documents or sensitive personal information through general Website enquiry forms. Contact us first so that suitable arrangements for sharing the information can be agreed.

Our Privacy Policy explains how we collect and use personal information. Information about cookies and similar technologies, together with relevant choices, is provided through the Website’s cookie information and controls.

These Terms do not constitute consent to marketing or to the use of technologies for which separate consent is required.

6. Links to and from other websites

We may link to third-party websites, including regulatory publications and other reference materials. These links are provided for information and convenience.

We do not control those websites or their content, availability or security. A link does not, by itself, constitute an endorsement of the third party or its services. Your use of a third-party website is subject to its own terms and privacy information.

You may link to our publicly available pages provided you do so fairly and lawfully, do not misrepresent their content and do not suggest an association, approval or endorsement without our permission.

You must not frame the Website within another website or display its content in a way that falsely suggests it belongs to you. We may ask you to remove a link that breaches this section.

7. Website availability and security

The Website is generally available without charge. We do not guarantee continuous or uninterrupted access, or that every feature will be available at all times.

We may update, suspend or withdraw parts of the Website for maintenance, security, operational or legal reasons. Where reasonably practicable, we will give notice of significant planned interruptions.

Although we take reasonable steps to protect the Website, we cannot guarantee that it will always be free from errors, viruses or other harmful material. You are responsible for using appropriate security measures on the devices and systems through which you access it.

Changes to Website availability do not alter our obligations under any separate client engagement.

8. Our responsibility for loss or damage

This section applies to use of the Website and its general information content. Liability relating to our professional services is governed by the relevant engagement agreement.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Business users

Where you use the Website for business or professional purposes, we exclude liability for loss of profits, revenue, anticipated savings, business opportunities, goodwill or reputation, and for indirect or consequential loss arising from use of, or inability to use, the Website or its general information content.

These exclusions apply whether the claim arises in contract, negligence or otherwise, but only where legally permitted and subject to any applicable requirement of reasonableness.

Consumers

Where you use the Website as a consumer rather than for business or professional purposes, we are responsible for reasonably foreseeable loss or damage caused by our breach of these Terms or failure to exercise reasonable care and skill. Loss or damage is foreseeable where it is an obvious consequence or where we and you knew it might occur.

Nothing in these Terms removes any mandatory protection you have under consumer law.

These Terms also do not restrict rights or remedies that cannot lawfully be restricted under data protection law.

9. Changes to these Terms

We may update these Terms to reflect changes to the Website, our business arrangements or applicable legal requirements.

The current version will be published on the Website with its effective date. Where a change materially affects

Website users’ rights or obligations, we will provide reasonable advance notice through the Website, unless an urgent legal or security reason requires an earlier change.

Updated Terms apply to subsequent use of the Website. They do not retrospectively change rights or obligations arising from earlier use, or amend any separate client engagement agreement.

Please review the current Terms when returning to the Website.

10. Governing law and disputes

These Terms and disputes arising out of or in connection with them, including non-contractual disputes, are governed by the laws of England and Wales.

For business users, the courts of England and Wales have exclusive jurisdiction.

For consumers, this does not remove any mandatory protections available under the law of the country in which you live, including any right you have to bring proceedings in your local courts.

If a court finds a provision of these Terms unlawful or unenforceable, the remaining provisions will continue to apply so far as they can operate independently.
